Terms of Service

The terms governing use of this website and engagement of Foxtrot's lead generation, CRM/ERP, telecalling, and BPO setup services.

Last updated: [Month DD, YYYY]

1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of the website operated by Foxtrot Solutions LLP ("Foxtrot", "we", "us", or "our"), and your engagement of any Foxtrot service — lead generation, Admission CRM & ERP, BPO setup, telecaller setup and training, or end-to-end admission support. By accessing this website, submitting a form, or signing a service agreement with us, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you confirm you have authority to bind that organisation.

2. Description of Our Services

Foxtrot provides lead generation, an Admission CRM & ERP platform, BPO/call-center setup, and telecaller recruitment/training/scripting services to schools, colleges, universities, coaching institutes, and BPO operators (each, a "Client"). The specific scope, pricing, and duration of a Client's engagement is set out in a separate written proposal, order form, or service agreement between the Client and Foxtrot, which forms part of these Terms for that Client. See our Engagement & Refund Policy for how an engagement typically begins, is billed, and can be cancelled.

3. Eligibility & Accounts

You must be at least 18 years old and legally capable of entering into a binding contract to engage Foxtrot as a Client or to be issued CRM/admin-portal login credentials. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [hello@foxtrot.in] if you suspect unauthorised use of your account.

4. Client Obligations

  • Provide accurate, current information needed to deliver the services (for example, programme details, fee structures, and admission criteria used in telecaller scripts).
  • Comply with your own applicable regulatory obligations as an educational institution or BPO operator (for example, education-board disclosure requirements, or telemarketing consent rules for any lists you provide us).
  • Only submit lead lists or contact data you have a lawful basis to share with us for follow-up calling.
  • Pay all fees due under your service agreement on time, per the Engagement & Refund Policy.
  • Use CRM/admin-portal access only for your own institution's admissions activity, not to resell or sublicense access to a third party.

5. Acceptable Use of This Website

When using this website, you agree not to:

  • Submit false, fraudulent, or spam enquiries through our lead forms.
  • Scrape, harvest, or systematically extract content or data from the website without our written permission.
  • Attempt to gain unauthorised access to the CRM/ERP platform, admin portal, or any non-public part of our systems.
  • Introduce malware, or interfere with the website's normal operation or security.
  • Use the website in a way that infringes any third party's intellectual property or other rights.

6. Fees, Payment & Engagement Terms

Fees for Foxtrot's services are set out in your service agreement and billed according to the schedule stated there (for example, a one-time setup fee plus a recurring monthly or per-cycle fee). Full payment terms, cancellation, and refund conditions are set out in our Engagement & Refund Policy, which forms part of these Terms.

7. Intellectual Property

This website, the Foxtrot name and logo, and the Admission CRM & ERP platform's software, design, and underlying technology are the property of Foxtrot Solutions LLP and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership right in that software or content — Clients are granted a limited, non-exclusive, non-transferable right to use the CRM/ERP for their own admissions activity for the term of their engagement.

Data you or your enquirers submit into the CRM/ERP (enquiry records, notes, uploaded documents) remains your property as the Client; Foxtrot's use of it is limited to providing the services, as described in our Privacy Policy.

8. Data & Confidentiality

Each party agrees to keep confidential any non-public business, technical, or pricing information it receives from the other in connection with the services, and to use it only to perform its obligations under these Terms. How we specifically handle personal information (including enquirers' and Clients' staff data) is described in our Privacy Policy.

9. No Guarantee of Results

Foxtrot's services are designed to improve enquiry capture, response time, and follow-through — but admission and enrollment outcomes depend on many factors outside our control, including your institution's programme, pricing, reputation, market conditions, and admissions decisions made by prospective students and their families. Any figures, examples, or case studies shown on this website or in our marketing (including on our Case Studies page) illustrate the kind of outcome our approach is built to support and are not a guarantee that any specific Client will achieve the same or similar results.

10. Third-Party Services & Links

Our services may rely on third-party infrastructure (telephony, dialer, SMS/WhatsApp, hosting, payment processing) and our website may link to third-party sites we do not control. We are not responsible for the content, availability, or practices of third-party services or sites, and their own terms and privacy policies apply to your use of them.

11. Disclaimer of Warranties

Except as expressly stated in a signed service agreement, the website and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by applicable law.

12. Limitation of Liability

To the fullest extent permitted by law, Foxtrot Solutions LLP's total liability arising out of or relating to these Terms or any service agreement will not exceed the fees paid by the Client to Foxtrot for the specific service giving rise to the claim in the [twelve (12) months] preceding the event. Neither party will be liable for indirect, incidental, special, or consequential damages, including loss of profits, admissions, or data, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for fraud or wilful misconduct).

13. Indemnification

You agree to indemnify and hold Foxtrot Solutions LLP harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the website or services, or content or lead data you provide us that we did not have a lawful basis to use because of your own non-compliance with applicable law.

14. Termination

We may suspend or terminate your access to the website or the CRM/admin portal if we reasonably believe you have violated these Terms. Termination of a Client's service engagement is governed by the notice and cancellation terms in our Engagement & Refund Policy. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law) will survive.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Subject to any dispute-resolution clause in a signed service agreement, the courts of [City], [State] will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the website or services.

16. Changes to These Terms

We may update these Terms from time to time; the "Last updated" date above will reflect the most recent revision. For active Clients, we will provide reasonable notice of any material change before it takes effect. Continued use of the website or services after a change takes effect constitutes acceptance of the revised Terms.

17. Contact & Notices

Questions about these Terms, or formal notices under a service agreement, can be sent to [legal@foxtrot.in], or by post to [Registered Office Address, City, State, PIN Code, India].
